1. Acceptance of Terms

By accessing or using the BalanceBit Solutions website (https://balancebitsolutions.com) and our services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Website or services.

These Terms constitute a legally binding agreement between you and BalanceBit Solutions ("we," "our," or "us"), a digital transformation agency registered in Pakistan.

2. Services Overview

BalanceBit Solutions provides the following digital services:

• Web Development: Custom websites, web applications, e-commerce solutions, and CMS development.
• Mobile App Development: iOS, Android, and cross-platform mobile applications.
• Cloud & DevOps: Cloud infrastructure setup, migration, CI/CD pipelines, and managed services.
• Cybersecurity: Security audits, penetration testing, vulnerability assessments, and compliance consulting.
• AI Solutions: Machine learning, natural language processing, computer vision, and AI-powered automation.
• Digital Marketing: SEO, PPC, social media marketing, content marketing, and analytics.
• Creative Design: UI/UX design, branding, graphic design, and motion graphics.
• Business Support: IT consulting, technical support, and ongoing maintenance services.

The specific scope, deliverables, timeline, and pricing for each project will be defined in a separate proposal, statement of work, or service agreement ("Project Agreement").

3. Project Agreements

Each engagement begins with a Project Agreement that defines:

• Project scope and deliverables
• Timeline and milestones
• Pricing and payment schedule
• Acceptance criteria
• Support and maintenance terms

In the event of a conflict between these Terms and a Project Agreement, the Project Agreement shall prevail for that specific project.

4. Intellectual Property

4.1 Ownership

Upon full payment of all applicable fees, all intellectual property rights for custom-developed work created specifically for the Client under a Project Agreement are transferred to the Client.

4.2 Pre-existing IP

BalanceBit Solutions retains ownership of all pre-existing intellectual property, tools, frameworks, libraries, and methodologies used in the development process. A perpetual, non-exclusive license to use such pre-existing IP is granted to the Client as part of the deliverables.

4.3 Portfolio Rights

BalanceBit Solutions reserves the right to display completed work in its portfolio, case studies, and marketing materials, unless the Client objects in writing prior to project completion.

4.4 Work-for-Hire

All deliverables created under a Project Agreement are considered work-for-hire to the extent permitted by applicable law.

5. Client Responsibilities

The Client agrees to:

• Provide timely access to necessary resources, information, and approvals.
• Designate a primary point of contact for project communications.
• Review and provide feedback on deliverables within the agreed review periods.
• Ensure that all content provided (text, images, branding materials) does not infringe third-party rights.
• Make payments according to the agreed schedule.

6. Pricing and Payment

6.1 Quotations

All quotations are valid for 30 days from the date of issue unless otherwise stated.

6.2 Payment Terms

Payment terms are defined in each Project Agreement. Standard terms include:

• A deposit of 30-50% is required before work commences.
• Milestone payments are due upon achievement of agreed milestones.
• Final payment is due upon project completion and handover.
• All invoices are payable within 14 days of issue.

6.3 Late Payments

Late payments may incur a fee of 1.5% per month on the outstanding balance. BalanceBit Solutions reserves the right to suspend work on projects with overdue payments.

6.4 Taxes

All prices are exclusive of applicable taxes unless stated otherwise. The Client is responsible for any taxes associated with the services.

7. Cancellation and Refunds

7.1 Client Cancellation

The Client may cancel a project at any time by providing written notice. In such cases:

• The deposit is non-refundable once work has commenced.
• Payment is due for all work completed up to the date of cancellation.
• Work-in-progress deliverables will be handed over upon receipt of payment.

7.2 BalanceBit Cancellation

We reserve the right to cancel a project if the Client fails to meet their obligations (as outlined in Section 5) for more than 30 consecutive days. In such cases, the Client remains liable for all work completed.

7.3 Refund Policy

Digital services are non-refundable once delivered and accepted. Refund requests will be considered on a case-by-case basis for services not yet rendered.

8. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the business relationship. This obligation survives termination of the agreement for a period of 3 years. We are happy to execute a separate Non-Disclosure Agreement (NDA) upon request.

9. Limitation of Liability

To the maximum extent permitted by law:

• BalanceBit Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total aggregate liability for any claim arising from or related to our services shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.
• We are not liable for delays or failures caused by events beyond our reasonable control (force majeure).

10. Warranty

10.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner, consistent with industry standards.

10.2 Bug Fix Period

Unless otherwise specified in the Project Agreement, we provide a 30-day bug fix period after project delivery at no additional cost. Issues arising from unauthorized modifications by the Client are not covered.

10.3 Disclaimer

Except as expressly stated in these Terms or a Project Agreement, all services are provided "as is" without warranties of any kind, whether express, implied, or statutory.

11. Indemnification

The Client agrees to indemnify and hold harmless BalanceBit Solutions, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• The Client's use of our services.
• Content provided by the Client that infringes third-party rights.
• The Client's breach of these Terms.

12. Termination

Either party may terminate the agreement by providing 30 days' written notice. Upon termination:

• The Client pays for all work completed up to the termination date.
• All deliverables completed to that point are delivered to the Client.
• Confidentiality obligations remain in effect for 3 years.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Pakistan. Any disputes arising from these Terms shall be resolved through good-faith negotiation first, then mediation, and finally through binding arbitration in Lahore, Pakistan, in accordance with applicable arbitration rules.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on our Website. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
